1. Introduction

Welcome to APPWELL LIMITED ("Company," "we," "our," "us").

These Terms of Service ("Terms") govern your use of our website located at https://genve.ai and the AI video translation services made available through this website ("Services").

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our platform.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

Beta Notice: The Service is currently in Beta. You acknowledge that processing times may vary and we do not guarantee real-time delivery during this phase. Features and availability may change without prior notice.

2. Eligibility

You must be at least 18 years old to access, use, or register with the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

If you are using the Service on behalf of a business entity, you represent and warrant that you have full legal authority to bind this entity to these Terms.

3. User Content & License

Ownership: You retain full ownership of all videos, images, audio, and other content you upload to Genve ("User Content"). We do not claim any ownership rights to your User Content.

License Grant: By using Genve, you grant us a worldwide, non-exclusive, royalty-free license to process, host, store, and modify your content solely for the purpose of providing the Service. This license terminates when you delete your content or your account.

AI Model Improvement: We may use anonymized, aggregated data to improve our AI lip-sync and translation models, unless you are on an Enterprise plan with a custom data processing agreement. Personal identification data is never used for training purposes.

4. Acceptable Use Policy

You agree NOT to use Genve to create, upload, or distribute content that:

  • Creates deepfakes of politicians, public figures, celebrities, or any individual without their explicit, documented consent for deceptive purposes
  • Impersonates any person or entity to deceive others or for any malicious purpose
  • Contains or promotes hate speech, discrimination, violence, or harassment
  • Facilitates scams, fraud, misinformation, or deceptive practices
  • Contains adult, pornographic, or sexually explicit content
  • Violates any intellectual property rights or creates content you don't have rights to

Zero Tolerance: Any violation of this Acceptable Use Policy will result in immediate account termination without refund. We may also report violations to appropriate authorities.

5. Credits, Billing, Cancellation & Refunds

Credits System: Genve operates on a credit-based system. Credits are measured in minutes of video processing. Unused credits expire at the end of each billing cycle and do not roll over to the next month unless explicitly stated in your specific plan.

Subscription Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on file automatically at the start of each billing cycle.

Cancellation Policy: You may cancel your subscription at any time through your account settings or by contacting support. Cancellations will take effect at the end of the current billing period. You will retain access to the Service until the end of the period, and no further charges will be made. We do not offer refunds for partial months or unused time if you cancel mid-cycle.

Refund Policy: We offer a 7-Day Money-Back Guarantee for new subscriptions to ensure your satisfaction. You are eligible for a full refund if ALL of the following conditions are met:

  • Your request is made within 7 days of the initial purchase date.
  • You have used less than 2 minutes (or 2 credits) of generation time.
  • Your account has not been terminated for violating our Terms.

Exceptions: Refunds are generally NOT provided for:

  • "Change of mind" after using more than 2 minutes of credit.
  • Dissatisfaction with the artistic style or voice tone (subjective quality).
  • Renewal charges if you failed to cancel before the renewal date (unless processed within 24 hours of renewal as a courtesy).

6. Intellectual Property

The Service, including its original content, features, and functionality (excluding User Content), is and will remain the exclusive property of APPWELL LIMITED and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks, logos, and service marks may not be used in connection with any product or service without prior written consent.

7. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. GENVE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL GENVE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount paid by you to Genve in the 12 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Genve and its licensees, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content you upload, process, or distribute through the Service

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association ("AAA").

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Effective Date" at the top.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
